1. Your relationship with Baseball Coast to Coast

     1.1 The following are the terms and conditions for use of, and pursuant to, all information, products or services available to you(the “User”, the “Member” or the “Instructor” as the case may be) by Baseball Coast to Coast.

        1.1.1 Anyone who uses the Services provided by Baseball Coast to Coast is hereby referred to as a “User” in this document.

        1.1.2 Any user who signs up to teach baseball lessons or affiliates themselves in any way with a Baseball Coast to Coast lesson providers is hereby referred to as an “Instructor” in this document.

        1.1.3 Any user who registers with Baseball Coast to Coast and is awarded the status of member is hereby referred to as a “Member” in this document.

        1.1.4 All of the aforementioned information, products, and services provided by Baseball Coast to Coast will hereby be referred to collectively as the “Services” in this document.

    1.2 Please read this agreement carefully as it is a legal agreement between you and Baseball Coast to Coast for as long as you use the Services provided by Baseball Coast to Coast. The terms of this agreement are subject to change by Baseball Coast to Coast at any time, effective immediately upon revision.

    1.3 In order to use the Services, you must first agree to the terms. You may not use the Services if you do not accept the terms.

    1.4 You can accept the terms by:

        (A) clicking the “Submit” button at the bottom of the “Lesson Sign Up” form or the “Instructor Application” form; or

        (B) by actually using the Services. In this case, you understand and agree that Baseball Coast to Coast will treat your use of the services as acceptance of the terms from that point onwards.

    1.5 You may not use the Services and may not accept the terms if you are not of legal age to form a binding contract with Baseball Coast to Coast.

 

2. Description of Services

    2.1 Baseball Coast to Coast.com is a service base website that provides such Services as, but not limited to, information on private lessons, lesson scheduling, baseball schools, teams, baseball camps, instructors, players, exercise programs, products, etc. (refer to Article 1.1.4)

        2.1.1 One of the services provided by Baseball Coast to Coast matches users with baseball instructors in their area. Users seeking private lessons can then use the site to be connected to an instructor and schedule a baseball lesson.

 

3. User Interaction with Baseball Coast to Coast

    3.1 Users agree that they will not engage in any activity that interferes with or disrupts the Services provided by Baseball Coast to Coast.

    3.2 Users can add information to BaseballCoasttoCoast.com but must, at all times, abide by the terms of this agreement when contributing to the site. Failure to abide by the terms of this agreement can result in users having their information removed, account(s) terminated, and/or ultimately risk being banished from all Baseball Coast to Coast Services.

    3.3 Baseball Coast to Coast reserves the right to terminate its involvement with any user who violates the terms of this agreement.

 

4. User Account, Password, and Security

    4.1 Once the service becomes available, users will receive a password and an account. Users are responsible for maintaining the confidentiality of their password and account.

    4.2 Users are solely responsible to Baseball Coast to coast for any and all activities that occur under their account. Membership with Baseball Coast to Coast is for the sole, personal use of the user for whom the account was given. Users may not authorize others to use their membership, and they may not assign or otherwise transfer their account to any other person or entity.

    4.3 Users are responsible to immediately notify Baseball Coast to Coast of any unauthorized use of their account or any other breach of security that becomes known. Users are responsible for logging out of their computer if that computer might be accessible to others so as to prevent any unauthorized access to private accounts

    4.4 Users may change their password at any time by following the instructions provided on the site. Users may also set up a new account at their convenience. However, only one account will be issued per email address.

    4.5 Users acknowledge and agree that if Baseball Coast to Coast disables access to their account, they may be prevented from accessing the Services, their account details or any files or other content which is contained in their account.

    4.6 Baseball Coast to Coast shall have no obligation to maintain any content in your account. If your account information should change, it is your responsibility to update these changes.

 

5. Disclaimers/Limitation of Liability

    5.1 THIS SITE AND THE SERVICES PROVIDED BY BASEBALLCOASTTOCOAST.COM ARE FURNISHED WITH NO WARRANTY, EXPRESSED OR IMPLIED.

    5.2 IF USERS CHOOSE TO PARTICIPATE IN ANY PROGRAM, SIGN UP FOR ANY LESSON, OR USE THE SERVICES OF ANY INSTRUCTOR, BUSINESS, OR FACILITY, THEY DO SO AT THEIR OWN RISK.

        5.2.1 LIKE A NEWSPAPER THAT PRINTS AN ADVERTISEMENT, BASEBALLCOASTTOCOAST.COM, AND ITS OPERATOR, BASEBALL COAST TO COAST, LLC, DOES NOT INVESTIGATE THE PROGRAMS, JOB POSTINGS, INSTRUCTORS, BUSINESSES, OR FACILITIES THAT OFFER THEIR SERVICES. THEREFORE, BASEBALLCOASTTOCOAST.COM AND ITS OPERATOR, BASEBALL COAST TO COAST, LLC, DO NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, ABOUT SUCH PROGRAMS, JOBS, INSTRUCTORS, BUSINESSES, OR FACILITIES.

        5.2.2 ANYONE WHO USES THIS SITE SHOULD CONDUCT HIS OR HER OWN INVESTIGATION INTO SUCH PROGRAMS, JOBS, INSTRUCTORS, BUSINESSES, OR FACILITIES BEFORE MAKING A DECISION TO PARTICIPATE IN THE PROGRAM, ACCEPT A JOB, OR USE THE SERVICES.

    5.3 BASEBALLCOASTTOCOAST.COM AND BASEBALL COAST TO COAST, LLC, SHALL NOT BE RESPONSIBLE FOR AND SHALL NOT BE HELD LIABLE FOR ANY INJURIES, MISHAPS, OR ANY DAMAGES WHATSOEVER THAT MAY OCCUR AS A RESULT OF YOUR USE OF THIS WEBSITE OR ITS SERVICES.

    5.4 ANY PROGRAM, EMPLOYER, INSTRUCTOR, BUSINESS, OR FACILITY THAT USES THIS WEBSITE SHALL BE SOLELY RESPONSIBLE FOR THE INFORMATION SET FORTH IN ANY LISTING AND AGREE TO HOLD BASEBALLCOASTTOCOAST.COM AND BASEBALL COAST TO COAST, LLC, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, ATTORNEYS, AND SUCCESSORS IN INTEREST, HARMLESS AND INDEMNIFY IT FROM ANY AND ALL LIABILITIES, DAMAGES, LAWSUITS, ATTORNEY FEES AND COURT COSTS ARISING FROM PARTICIPATION ON THIS WEBSITE.

7. User and Instructor Conduct

    7.1 Users and instructors will only post honest, current, and accurate information on BaseballCoasttoCoast.com.

    7.2 Users and instructors are solely responsible for the content and information they publish or display as part of the Baseball Coast to Coast.com service. For example:

        7.2.1 Users and instructors will not publish or display any defamatory, inaccurate, obscene, sexually oriented, threatening, harassing, racially offensive, illegal material, or any material that infringes or violates another party’s rights (including, but not limited to, intellectual property rights and rights of privacy and publicity).

        7.2.2 Users and instructors will not send junk mail or SPAM to any organizations, businesses, users or other such parties affiliated with BaseballCoasttoCoast.com.

        7.2.3 Users and instructors will not post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.

        7.2.4 Users and Instructors are solely responsible for their interactions with other BaseballCoasttoCoast.com users, members, or instructors. Baseball Coast to Coast has no obligation to resolve any disputes between you and any other Baseball Coast to Coast.com member, advertiser, instructor, business partner, or any other third party.

        7.2.5 Users and instructors will use Baseball Coast to Coast.com in a manner consistent with any and all applicable laws and regulations pertaining to their use of this site and/or the services it may provide. Failure to do so may result in banishment from all Baseball Coast to Coast Services.

 

8. Links to Third Party Sites

    8.1 Any links included within Baseball Coast to Coast.com may permit you to leave the website. These linked sites are not under the control of Baseball Coast to Coast and Baseball Coast to Coast shall not be responsible for the content of any linked site or any link contained in a linked site. All such sites shall be subject to the policies and procedures of the owner of such site.

    8.2 You acknowledge and agree that Baseball Coast to Coast is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources.

    8.3 Baseball Coast to Coast is not responsible and shall have no liability for webcasting, or any other form of transmission received from any linked site. Baseball Coast to Coast is providing these links to you only as a convenience.

 

9. Indemnification

    9.1 You agree to indemnify and hold Baseball Coast to Coast.com, Baseball Coast to Coast LLC., and any of its officers or employees, harmless from any claim, demand, or damage, including reasonable attorneys’ fees, asserted by any third party due to or arising out of your use of or conduct on the Service.

 

10. Ending your Relationship with Baseball Coast to Coast

    10.1 The terms will continue to apply until terminated by either you or Baseball Coast to Coast as set out below.

    10.2 If you want to terminate your legal agreement with Baseball Coast to Coast, you may do so at any time by:

        (A) closing your accounts for all of the Services which you use; or

        (B) sending written notice to lessons@baseballcoasttocoast.com

    10.3 Baseball Coast to Coast may at any time, without notice, terminate its legal agreement with you if:

        (A) you have breached any provision of the terms (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the terms); or

        (B) Baseball Coast to Coast is required to do so by law (for example, where the provision of the Services to you is, or becomes, unlawful); or

        (C) Baseball Coast to Coast is transitioning to no longer providing the Services to users in the area in which you are a resident or from which you use the service; or

        (D) the provision of the Services to you by Baseball Coast to Coast is, in Baseball Coast to Coast’s opinion, no longer commercially viable.

 

11. Participation in Promotions of Advertisers

    11.1 Any dealings with advertisers on Baseball Coast to Coast.com or participation in promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the advertiser or other third party.

    11.2 Baseball Coast to Coast shall not be responsible or liable for any part of any such dealings or promotions.

 

12. Proprietary Rights to Content

    12.1 You acknowledge that content, including but not limited to text, photographs, software, music, sound, video, graphics, or other material contained in either sponsor advertisements or electronically distributed, commercially produced information presented to you by Baseball Coast to Coast.com, Baseball Coast to Coast.com advertisers or other content providers, is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws.

    12.2 You may make a copy of this content for your personal, non-commercial use only, provided that you keep all copyright and other proprietary notices intact.

    12.3 You may not modify, copy, reproduce, republish, upload, post, transmit, or distribute in any way content available through Baseballcoasttocoast.com and its associated sites, including code and software.

 

13. Modifications to Terms of Service

    13.1 Baseball Coast to Coast reserves the right to change the Terms of Service or policies regarding the use of the service at any time.

    13.2 Baseball Coast to Coast will notify you by posting an updated version of the Terms of Service on this website. You are responsible for regularly reviewing the Terms of Service. Continued use of Baseball Coast to Coast.com after any such changes shall constitute your consent to such changes. (refer to Article 1.2 through 1.4).

 

14. Ownership

    14.1 Baseball Coast to Coast shall retain all ownership in and to the service and the site and all content displayed on the site.

 

15. No Assignment

    15.1 You shall not assign this agreement, assign any rights, or delegate any obligations of this agreement, in whole or in part, whether voluntarily or by operation of law, without the prior, written consent of Baseball Coast to Coast. Any transfer, assignment, or delegation without the appropriate prior written consent will be null and void and of no force or effect.

 

16. General

    16.1 This agreement is governed in all respects by the laws of the State of Nevada, U.S.A, without reference to its conflicts of laws, principles and any dispute arising hereunder shall be submitted to state and federal courts in Nevada and you consent to the exclusive jurisdiction of such courts.

    16.2 If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Baseball Coast to Coast‘s failure to act with respect to a breach by you does not waive Baseball Coast to Coast ‘s right to act with respect to subsequent or similar breaches.

    16.3 You may not assign or transfer this agreement or any rights hereunder, and any attempt to the contrary is void.

    16.4 This agreement shall be binding upon each party's successors and assigns.

    16.5 Baseball Coast to Coast‘s shall not be liable for any delay or failure to perform resulting directly or indirectly from any causes beyond Baseball Coast to Coast’s reasonable control. Any notice required or permitted to be given to you under this agreement shall be delivered by electronic mail at the email address provided by you during sign up.

 

17. Language

    17.1 It is the express wish of the parties that the Terms of Service and all related documents have been drawn up in English.

    17.2 Where Baseball Coast to Coast has provided you with a translation of the English language version of the terms, then you agree that the translation is provided for your convenience only and that the English language versions of the terms will govern your relationship with Baseball Coast to Coast.
